2. Description of Service

ListParts.io is a software-as-a-service (SaaS) platform that uses artificial intelligence to assist auto parts sellers in creating, managing, and publishing listings on eBay Motors. Key features include:

• AI-powered part identification from photos
• Optical character recognition (OCR) for OEM number extraction
• Market research and competitive pricing analysis
• Automated fitment data and item specifics generation
• Integration with eBay's official Inventory API for listing publication

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Security

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or security breach
• Be at least 18 years of age

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

4. eBay Integration and Third-Party Services

ListParts.io integrates with eBay through eBay APIs. By connecting your eBay account, you acknowledge and agree that:

• You must comply with eBay's Terms of Service and all applicable eBay policies
• We will access your eBay account using OAuth 2.0 with scoped permissions you authorize
• You are solely responsible for all listings created and published through the Service
• We are not responsible for eBay's actions, including suspensions, listing removals, or policy changes
• You can revoke our access to your eBay account at any time

ListParts.io is an independent service and is not affiliated with, endorsed by, or sponsored by eBay Inc.

5. User Responsibilities and Prohibited Conduct

You agree NOT to:

• Use the Service to create fraudulent, misleading, or inaccurate listings
• Violate any laws, regulations, or third-party rights (including intellectual property rights)
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Use automated tools (bots, scrapers) to access the Service in ways not intended
• Interfere with or disrupt the Service or its infrastructure
• Share your account credentials with others or create accounts on behalf of others without permission
• Use the Service to sell counterfeit, stolen, or prohibited items
• Resell or redistribute the Service without our written permission

⚠️ Violation of these terms may result in immediate account suspension or termination without refund.

6. AI-Generated Content and Accuracy

ListParts.io uses artificial intelligence to assist in generating listing content, including part identification, pricing suggestions, and fitment data. You acknowledge that:

• AI-generated suggestions are not guaranteed to be 100% accurate
• You are solely responsible for reviewing and verifying all listing content before publishing
• We are not liable for errors, inaccuracies, or omissions in AI-generated content
• Final responsibility for listing accuracy, legality, and compliance rests with you

We continuously improve our AI models but cannot guarantee perfect accuracy for every part or scenario.

7. Subscription Plans and Billing

ListParts.io offers subscription-based pricing plans. By subscribing, you agree that:

• Billing Cycle: Subscriptions are billed monthly or annually based on your selected plan
• Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date
• Payment Processing: All payments are processed securely through Stripe, Inc.
• Price Changes: We may modify pricing with 30 days' notice. Changes do not affect current billing cycles.
• Failed Payments: If payment fails, we may suspend your account until payment is resolved

You can cancel your subscription at any time from your account dashboard. Cancellations take effect at the end of the current billing period.

8. Refund Policy

• 14-Day Trial: Customers may receive a 14-day trial period during onboarding. No subscription charges apply during the trial.
• Monthly Plans: No refunds are provided for monthly subscriptions. Cancel anytime to avoid future charges.
• Annual Plans: Pro-rated refunds may be issued at our discretion within 30 days of initial purchase.
• Service Issues: If technical issues prevent you from using the Service, contact support for resolution or potential credit.

9. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and trademarks, is owned by ListParts.io and protected by copyright, trademark, and other intellectual property laws.

Your Content: You retain ownership of all content you upload (photos, descriptions, etc.). By using the Service, you grant us a limited license to process, store, and display your content solely to provide the Service.

Our Content: You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

You agree to indemnify, defend, and hold harmless ListParts.io, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights (including eBay's policies)
• Content you create, upload, or publish using the Service

12. Termination

A store owner may terminate the account at any time on the web in Settings → Account → Delete account. If you are a team member (employee), your store owner can remove your access to the store; to close your user account, contact [email protected], and to have your personal data deleted, contact [email protected]. When a store owner closes the account:

• Your access to the Service will be revoked
• Stores you solely own are terminated and their team members lose access; eBay is disconnected, and live eBay listings stay on your eBay seller account and are managed there
• Your data will be retained so that access can be restored; access can be restored only through support after you provide documents that prove your rights to the store. Personal data is permanently deleted on a verified request to [email protected] (see Privacy Policy for details)
• The subscription of each terminated store is cancelled at closure; no refunds will be issued for remaining subscription time (unless otherwise stated), and any charge made after the closure is refunded

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk. We will provide notice when possible, but reserve the right to terminate without notice in cases of severe violations.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we will also notify you by email.

Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service and may terminate your account.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to protect intellectual property rights.

You waive any right to participate in class action lawsuits or class-wide arbitration.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ListParts.io.
• Severability: If any provision of these Terms is found invalid, the remaining provisions remain in effect.
• No Waiver: Our failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign them without restriction.
